Corporate Associate Attorney

Career Consulting Partners has partnered with a globally renowned law firm with over 500 attorneys and 1,000 employees. We are assisting them in their search for a Corporate Associate to join their Startup and Venture Capital group. You will work with top-tier clients and develop expertise in a fast-paced, dynamic practice. You will provide legal services to technology and life sciences companies at all stages of development, from early startups to publicly traded corporations.

IDEAL CANDIDATE:

• 3 years of experience in sophisticated corporate law practice, specifically focused on startup, venture capital, and emerging company representation.
• Strong understanding of venture capital financing, corporate governance, M&A, and private equity.
• Experience advising startups, emerging companies, and venture capital investors on corporate governance, financing rounds, equity structure, and M&A transactions.
• Experience with, or affinity for, technology and/or life sciences companies is preferred.

REQUIREMENTS:

• Top law school credentials with excellent academic performance.
• Active WA BAR membership or eligibility to waive in.
• Draft and negotiate corporate documents, including term sheets, stockholder agreements, investor rights agreements, and other related agreements.
• Support clients in a range of transactions, including financings, mergers and acquisitions, joint ventures, and strategic partnerships.
• Strong oral, written, and interpersonal communication skills.

COMPENSATION & BENEFITS:

• Salary: $250,000 - $370,000
• Healthcare, Life Insurance, Health Savings Accounts, Flexible Spending Accounts, and Wellbeing
• A discretionary bonus for eligible employees may also be available based on performance
