Corporate & Transactions Counsel

Position Overview:
We are seeking a highly skilled corporate and transactional attorney to join our legal team. This role will provide corporate governance oversight for over 30 private entities, manage state registrations, lead M&A efforts, and serve as the primary legal advisor for distributor-related matters. The ideal candidate will have a strong background in corporate law, transaction structuring, with a strategic mindset and the ability to work cross-functionally in a dynamic business environment.
Key Responsibilities:
Corporate Governance & Entity Management
- Oversee and manage the legal governance of 30+ private entities, ensuring compliance with corporate laws and regulations.
- Handle state registrations, filings, and other corporate maintenance tasks.
- Provide guidance on board and shareholder matters, corporate recordkeeping, and entity structuring.
- Draft and review corporate resolutions, bylaws, operating agreements, and related governance documents.
Mergers & Acquisitions (M&A)
- Lead and with the support of external counsel, M&A transactions including due diligence, negotiations, and deal structuring.
- Draft the LOI, purchase agreements, and related transaction documents.
- Collaborate with internal stakeholders and external counsel to ensure smooth execution of transactions.
Distributor & Commercial Support
- Serve as the primary legal focal point for distributor relationships.
Qualifications & Requirements:
- Strong knowledge of corporate governance, entity management, and state registration requirements.
- Proven experience leading M&A transactions, from due diligence to post-closing integration.
- Ability to communicate legal concepts effectively to business stakeholders and executive leadership.
- Highly organized with strong attention to detail and the ability to manage multiple projects simultaneously.
- Experience in the material handling, manufacturing, or distribution industries is a plus.
- Excellent and succinct verbal and written communication skills.
- Ability to work independently.
- Ability to work in a fast-pace environment as a team member.
- Must be able to multi-task.
- Excel in a role with high-volume of work.
- Must be self-motivated and high energy.
- Proficient in Microsoft Office, Word, Excel, and PowerPoint.
- Ability to work in a constant state of alertness and safe manner
- Additional duties as assigned
Education & Experience
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 7+ years of experience in corporate law, M&A, and commercial transactions, preferably in an in-house or law firm setting.
