Role Overview
We are seeking a full-time Legal Counsel to be a key player in our growing team, working directly with the General Counsel, supporting both our investment management business and our sports franchise operations. Role Overview

Responsibilities
- Contract Drafting & Negotiation: Draft, review, and negotiate a broad array of commercial agreements, including sponsorship agreements, licensing deals, consulting contracts, vendor agreements, real property leases, real property management agreements, suite license agreements, ticketing arrangements associated with sports events, and non-disclosure agreements (NDAs). Ensure all contracts protect the firm and teams’ interests and comply with applicable laws.
- NBA/WNBA & NWSL League Compliance: Assist the General Counsel with NBA/WNBA and NWSL inquiries. Interpret league constitutions, collective bargaining agreements, and operating manuals; coordinate timely responses; and monitor evolving league policies to ensure each team’s ongoing adherence.
- General Legal Support: Collaborate closely with the General Counsel on day-to-day legal matters and special projects as needed. Provide advice and support across various legal areas of the business, demonstrating flexibility and a problem-solving mindset in tackling new or unique challenges as they arise.
- Fund Documentation: Prepare private fund documents and investor agreements and communications. This involves working on offering materials (private placement memoranda), subscription agreements, investment management agreements, partnership/operating agreements, and side letters with investors. Ensure these documents accurately reflect terms and comply with securities regulations.
- Regulatory Filings & Compliance: Provide support for the firm’s regulatory and compliance needs as a Registered Investment Advisor (RIA). Maintain adherence to SEC and Investment Advisers Act regulations. Support general corporate governance tasks, including drafting board resolutions or meeting minutes and keeping corporate records up to date.
- Juris Doctor (J.D.) from an accredited law school and active membership in a state bar in good standing, California preferred.
- At least 3 years of experience in relevant areas of law. This could include experience at a law firm or in-house legal department focused on corporate, transactional, private equity, sports or regulatory matters.
- Must be based in or willing to relocate to the Orange County, CA area. This role requires on-site presence at our Newport Beach office five days a week.
- Experience working in a small legal team or directly with senior executives is beneficial. Candidates who have served as in-house counsel or have managed a broad range of legal issues for a business will adapt quickly to this role.
- Comfortable working closely with a General Counsel and senior management. Excellent communication skills (both written and verbal) to effectively convey legal issues and solutions to non-legal stakeholders and to negotiate with external parties.
- Thrives in a lean, fast-paced environment. Able to take initiative and work independently with limited supervision, prioritizing a diverse workload. Willing to handle both high-level strategic work and hands-on administrative tasks as needed.
- Possesses sharp analytical skills and good business judgment. Capable of spotting potential legal risks or conflicts early and devising pragmatic solutions. Knows when to escalate issues to the General Counsel and can propose options for resolution.
