This position currently reports to: Paralegal Manager, the Office of the Corporate Secretary.

This position currently reports to: Paralegal Manager, the Office of the Corporate Secretary.
What You Will Do:
- Assist paralegal specialists with all aspects of entity maintenance, including handling of state and local filings relating to new entity formations, foreign qualifications, dissolutions, name changes, conversions, mergers and DBAs
- Assist with all aspects of subsidiary governance, including preparation of governing documents (bylaws, operating agreements), officer and director appointments and preparation of annual consents
- Manage corporate data and records in the legal entity management system (Diligent Entities) and electronic minute books (NetDocuments) (Diligent entities)
- Prepare and route documents for electronic signature
- Identify missing governing documents and file documents in electronic minute books
- Assist and support departmental projects as assigned; provide administrative support for other filing, entity management and subsidiary governance tasks as assigned
- Research industry best practices and make recommendations for new processes and procedures
- 1-year paralegal experience and/or qualifications to be a paralegal by certification or education
- Strong organizational skills and attention to detail.
- Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
- Demonstrated ability to work independently and collaboratively.
- Commitment to confidentiality and professional integrity.
- Positive, solutions-oriented mindset with a focus on continuous improvement.
- Experience managing corporate entities, preferably in high-volume environments
- Working knowledge of Delaware and California corporate law and Secretary of State procedures.
- Proficiency with legal entity management systems (e.g., CSC, Diligent Entities) and registered agent databases (e.g., CSC Navigator).
- A Bachelor’s Degree and/or qualifications to be a paralegal by certification or education and work experience as set forth by the American Bar Association and/or any applicable state codes.
