Overview

Scheels General Counsel will provide legal guidance in a variety of general business areas. The General Counsel will work closely with internal departments and leadership to ensure that business practices align with applicable state and federal laws and regulations.

Responsibilities

Contract Management

  • Draft, review, and negotiate a wide range of contracts (not limited to: vendor agreements, vendor disputes, lease agreements, service contracts, etc.).
  • Maintain and manage a contract database.
  • Ensure contract terms comply with company policies and applicable laws.
  • Support legal aspects of leasing and real estate transactions for Scheels locations.
  • Ensure compliance with fair trade practices and sourcing regulations.
  • Prepare and review legal documents for all areas of business as needed.

Compliance & Regulation

  • Monitor and ensure compliance with retail-specific laws (e.g., consumer protection, advertising laws, pricing regulations).
  • Collaborate with leadership to develop internal compliance programs and provide relevant training content across the organization.
  • Oversee and coordinate external counsel on litigation and dispute resolution.
  • Consult with HR leadership on employment law matters and ensuring policies are current and compliant
  • Assist in resolving customer and vendor complaints and disputes
  • Identify and conduct legal training for various teams across the organization.
  • Identify legal risks and recommend mitigation strategies.
  • Assist the CFO with legal processes and legal issues resulting from the exchange and offering of company stock plans.
  • Advise executive leadership on corporate governance matters, including compliance with bylaws, corporate policies, and fiduciary duties.
  • Support the preparation and review of board and committee materials, minutes, resolutions, and governance frameworks to ensure legal and regulatory compliance.
  • Assist with the annual information and notices process to shareholders.
  • Review promotional campaigns, advertisements, loyalty programs, and social media content for legal compliance.
  • Ensure compliance with FTC regulations and other advertising standards.
  • Support Executive Committee with corporate filings and maintenance of company records.
  • Ensure legal structures and guidance are compliant and up to date.
  • Advise on privacy policies, data collection practices, and data breach protocols.
  • Work with Scheels Information Services (SIS) to ensure security standards.

Education & Experience

  • Juris Doctor Degree from an accredited law school required
  • A minimum of 5-10 years practicing law required; Corporate Law experience preferred
  • Business acumen in the areas of finance, accounting, human resources, marketing, E-commerce, etc.
  • Strong analytical and problem solving skills
  • Leadership experience working with various levels of the organization

Physical Requirements/Lifting Requirements

Must be able to sit, stand, bend at the waist, climb, stoop, kneel, crouch, reach, walk, push/pull, lift, talk, and hear with or without reasonable accommodation
