JOB TITLE: Senior Vice President General Counsel
PAY RANGE: $214,968- $384,217 annually
DEPARTMENT: Executive Management
Summary
The General Counsel, serves as in-house counsel for the Credit Union working with the President/CEO and Senior Leadership to provide enterprise legal support, including contract review in areas including, but not limited to: credit union operations; banking, payments, consumer protection regulations; and commercial real estate purchase agreements and leases. The General Counsel reports to the President/CEO.
The General Counsel assists in implementing best practices to identify and minimize legal risks and to ensure regulatory compliance for the Credit Union including new and existing product offerings. The General Counsel also oversees outside counsel regarding the management of Credit Union legal matters and provides counsel to the President/CEO regarding operational and business development areas.
The General Counsel provides advice on legal and policy matters related to supervision, regulation and systemic legal risk and assists with evaluating legal complaints, both actual and potential litigation, and helps manage litigation and external counsel, considering budgeting, negotiations, strategic planning and cost management.
The General Counsel supervises and is responsible for managing the Compliance Director, and potentially others. The General Counsel will be responsible for the Credit Union’s Compliance, BSA/AML, Vendor Management and Loss Prevention Areas, though other areas may be assigned. Responsibilities include the overall direction, strategy, coordination, and evaluation of these areas.

Additionally, The General Counsel Is Responsible For The Following
- Participates as a member of the Senior Leadership Team in formulating solutions to organizational challenges.
- Responsible for analyzing, researching, and preparing legal documents to provide accurate and effective legal advice to the Credit Union.
- Researches, analyzes and interprets complex laws, regulations and rules.
- Provides legal review of applicable outgoing communications including complaint responses.
- Proactively identifies, monitors and addresses legal, regulatory, and industry trends, advising Credit Union Management.
- Negotiates, drafts, and reviews contracts ensuring compliance with all applicable regulations.
- Provides guidance on corporate governance issues and legal protections.
- Juris Doctorate degree from an accredited law school and a member in good standing of the State Bar of California.
- BA/BS in Business Administration or a related field, or equivalent experience.
- Minimum of 8 years of experience in financial institutions, preferably in Credit Unions, overseeing compliance, risk management, legal matters, and vendor management.
- At least 5 years of management experience leading high-performing teams in legal and compliance functions.
- In-depth understanding of the key business issues and trends that exist in the financial industry (particularly Credit Unions) including, but not limited to, knowledge of strategic and operational planning, financial institution economics, federal, state and local laws, marketing, financials and overall cost analysis.
- Strong knowledge of federal and state regulations affecting credit unions.
- Proficiency in legal research platforms and strong analytical and problem-solving skills.
- Advanced proficiency in MS Office Suite and contract management tools is preferred.
- Understanding of risk management principles and how they apply to credit union operations.
- Excellent communication skills, ability to simultaneously manage multiple projects in a fast-paced environment, maintain confidentiality, exhibit excellent organizational skills and attention to detail.
- Knowledge of financial institution economics and trends in the financial industry.
