We are seeking a highly organized and commercially minded Paralegal or Contract Specialist to support our Legal team in reviewing, redlining, and managing sales and vendor contracts within an Enterprise SaaS environment. Reporting to the VP Legal, this role requires fluency in identifying legal risk, applying playbook-based redlines, and working with cross-functional records in shared systems.

Role Summary
We are seeking a highly organized and commercially minded Paralegal or Contract Specialist to support our Legal team in reviewing, redlining, and managing sales and vendor contracts within an Enterprise SaaS environment. Reporting to the VP Legal, this role requires fluency in identifying legal risk, applying playbook-based redlines, and working with cross-functional records in shared systems.
- Respond to inbound legal tickets related to contract queries and intake triage.
- Raise POs and ensure documentation is properly filed and version-controlled.
- Support corporate requests and risk reviews
- Support the VP - Legal in special projects, legal research and other initiatives
What You'll Do Here
- Review and redline customer-facing sales agreements (e.g., MSAs, Order Forms, NDAs) and vendor contracts (e.g., SaaS subscriptions, DPAs, SOWs).
- Apply and enforce legal risk guidelines and contract playbooks to support risk-aligned redlining.
- Collaborate with Legal Counsel to escalate material deviations and propose alternative clauses.
- Partner with Sales and Vendor teams to provide clear contract feedback and support efficient turnaround times.
- Track and manage contract review requests using tools like Jira.
- Maintain and update clause libraries, templates, and indemnity, liability caps, SLAs, data handling).
- Familiarity with enterprise SaaS agreements and customer contracting cycles.
- Understanding of U.S. data privacy principles (e.g., CCPA, CPRA) and international data protection (e.g., GDPR, SCCs) preferred.
- Exceptional written and verbal communication and document management skills.
- Comfortable working in a fast-paced environment with frequent interactions with sales and operations teams.
- Experience using contract lifecycle management systems and document automation tools.
- Collaborate with Legal, Sales, and Procurement teams and influence deal flow directly.
- Gain experience with high-impact contracts and expand into privacy, compliance, and legal operations.
Qualifications
- 4+ years of experience as a Paralegal, Contract Specialist, or Legal Assistant in a law firm or in-house legal department.
- Proven ability to redline contracts independently, with a solid understanding of commercial terms (e.g. ideally with Sales, Vendors, and Legal stakeholders.)
- The ideal candidate is detail-oriented, experienced in commercial SaaS agreements, and capable of balancing speed and accuracy in high-volume contract negotiations.
- Experience in an Enterprise SaaS company or legal team supporting B2B software sales in a multinational environment.
- Familiarity with InfoSec and privacy exhibits, cybersecurity addenda, and third-party risk assessments.
- Knowledge of software licensing models, renewals, usage metrics, and enterprise procurement workflows.
- Experience in procurement reviews and workflows
