Description

SHINE Technologies is seeking a Senior Counsel who will be responsible for managing a wide range of legal matters, primarily focusing on commercial agreements, regulatory compliance, and labor & employment matters that impact SHINE. This role requires the ability to provide legal counsel in a wide variety of corporate spaces, extensive experience in complex negotiations, and the ability to identify risks and communicate those to the leadership team. The Senior Counsel role demands the ability to provide strategic legal guidance, ensure regulatory compliance, and effectively balance legal risks with business objectives to protect and advance the company's interests.

The base salary range for this position is $180,000 - $210,000 per year plus a comprehensive compensation package. Our salary ranges are determined by role, level, and location.

Duties And Responsibilities

Specific duties and responsibilities of the Senior Counsel include, but are not limited to:

  • Draft, review and negotiate a wide variety of commercial agreements to support construction, purchasing, and customer supply agreements with our various vendors.
  • Oversee the contract administrator and contracting processes;
  • Provide legal counsel to the executive team;
  • Manage disputes and oversee outside counsel.
  • Provide counsel in labor & employment matters, IT matters, and regulatory matters.
  • Manage the export compliance function, including ensuring legal compliance with exports of SHINE’s core products.
  • Liaise with outside counsel in various specialties to support business functions (litigation, regulatory, FDA, export controls, real estate, M&A, etc.).
  • Optimize legal department operations, processes, and strategies, including supporting budget oversight and identifying legal technology tools.

Requirements

  • Minimum 5+ years of experience drafting and negotiating commercial agreements at a law firm, in-house, or combination of both.
  • Top academic credentials from a leading U.S. law school; JD required; Bar admission and in good standing in the State of Wisconsin (or admission within a short time of hire).
  • Ability to draft documents, policies, emails and anything else in a very precise manner, while still being digestible for non-lawyers.
  • A confident, effective and positive negotiator who can lead the process, focus on important issues, and efficiently bring deals to a favorable close.
  • Flexibility to adapt and thrive in an environment that is constantly expanding and changing as we grow our business.
  • High integrity and excellent judgment supported by a point of view that is well thought out and communicated.
  • Ability to work cross-functionality with different departments to reach consensus on whether to accept non-standard contract terms.
  • Ability to contribute to and iterate on contract playbook of fallback terms.

Working Conditions And Physical Effort

  • Requires frequent leaning, bending, stooping, crouching, grasping, and reaching above the shoulders and below the knees.
  • Moderate physical activity. Requires handling of average weight objects up to 40 pounds or standing and/or walking for more than four (4) hours per day.
  • Fine motor coordination and strong depth perception is beneficial.
  • Work involves moderate exposure to unusual elements, such as extreme temperatures, dirt, dust, fumes, smoke, unpleasant odors, and/or loud noises.
  • Work environment involves some exposure to hazards or physical risks, which require following basic safety precautions.

Eligibility for employment is conditioned on the applicant’s ability to qualify for access to information subject to U.S. Export Controls.
