Summary Of Role

The VP, Compliance, and CRA Officer assures compliance with all company policies and procedures, as well as all applicable state and federal banking regulations. Must comply with the company’s BSA/AML/OFAC Program and ensure that Consumer Compliance regulatory requirements are adhered to. Responsible for the oversight of a Consumer Compliance and Safety and Soundness program for the Bank. Manage and provide leadership in the CRA compliance and regulatory functions of the Bank. Responsible to assure that the Bank operates in compliance with all applicable legal and regulatory requirements. Provide legal advice and counsel for residential and consumer departments.

Major Duties and Responsibilities

  • Develop and implement an overall Compliance Plan and CRA Plan to ensure compliance with all applicable State and Federal laws, rules and regulations. Maintain a system that documents all CRA volunteer activities, as well as CRA qualified charitable contributions and investments. Work with Executive Managers to develop community outreach programs such as homeowner counseling, foreclosure prevention counseling as well as financial literacy training provided to non-profit organizations, high school students, senior citizens or other appropriate groups.
  • Validates HMDA data and produces monthly reports. Act as onsite liaison for internal audits and all state and federal examinations relating to all compliance matters (excluding safety and soundness)
  • Monitor various compliance surveillance and exception reports. Conduct periodic internal account/customer reviews to identify potentially suspicious activity. Complete and accurately document steps taken through the investigation process. Review and critically assess current reporting systems in order to determine recommendations for maximum optimization.
  • Responsible for the development and update of BSA/AML/OFAC training materials and forms for company’s personnel and Management. Attends compliance schools and information sessions to become knowledgeable and skilled in compliance requirements. Reports requirements to management and may train departmental heads in compliance processes, requirements and controls.
  • Assists the company and divisional management in understanding and addressing all applicable laws and regulations. Develops and maintains corporate compliance policies and establishes compliance review procedures. Assists administration and other Bank personnel on department business to coordinate inter and intra-departmental activities; resolve inquiries or issues relating to BSA/Compliance matters; participates in various internal committees as assigned.
  • Conducts special studies for management to discover the company’s potential exposure to existing or pending compliance regulation and cooperates with the appropriate staff in developing an effective response to the compliance requirements.
  • Chair Compliance/CRA committee which will meet at least quarterly. Make recommendations to Executive management as to who should be a member of the CRA/Compliance Committee. Provide recommendations to Senior Management about new programs or initiatives to participate in to assure CRA compliance (ie. Federal Home Loan Bank programs that provide down payment assistance or Affordable Housing Grants)
  • Provide recommendations to Senior Management as to needed CRA services, investments and contributions and develop a program to encourage Senior Management to volunteer their financial expertise to appropriate nonprofit organizations that will benefit the Bank’s CRA participation and its objectives to grow its business according to the Strategic Plan. Monitor and review changes in law and regulations and provide information to Senior Executives and Board of Directors as appropriate. Monitor and review all polices, procedure manuals, and marketing materials to ensure compliance with applicable laws, rules, and regulations. Make sure Board reviews and approves as appropriate.
  • Maintains a schedule for a cursory examination of all compliance requisites and looks for evidence of deficiencies in controls, duplication of effort, timeliness of response to compliance issue or lack of compliance with laws, government regulations, and management policies or procedures.
  • Establishing Risk Assessments and mitigating factors.
  • Update and prepare all compliance policies for Board review and approval periodically pursuant to schedule. Provide periodic Compliance and CRA report to Board. Serve as legal counsel to residential mortgage and consumer loan lines of business, as well as retail branches (review of trusts, power of attorneys and other customer deposit account issues). Ensure Board receives needed periodic Compliance training and develop a program with assistance of Human Resources to ensure bank officers and employees also receive needed compliance training.
  • Must comply with applicable laws and regulations, including but not limited to, the Bank Secrecy Act, the Patriot Act, and the Office of Foreign Assets Control.

Knowledge & Skills

Experience

Five-Ten years of experience in Compliance and CRA.

Education/Certifications/Licenses

Bachelor’s Degree in, Business, Finance, Accounting, related field. Compliance Certifications from National Compliance School.

A significant level of trust and diplomacy is required to be an effective subject matter expert in the position. In-depth dialogues, conversations and explanations with customers, direct and indirect reports and outside vendors of a sensitive and/or highly confidential nature is a normal part of the day-to-day experience. Communications can involve motivating, influencing, educating and/or advising others on matters of significance.

This often requires understanding the complex context and business climate where the changes are being made.

Physical Requirements

Is able to bend, sit, and stand in order to perform primarily sedentary work with limited physical exertion and occasional lifting of up to 10 lbs. Must be capable of climbing / descending stairs in an emergency situation. Must be able to operate routine office equipment including computer terminals and keyboards, telephones, copiers, facsimiles, and calculators. Must be able to routinely perform work on a computer for an average of 6-8 hours per day, when necessary. Must be able to work extended hours or travel off site whenever required or requested by management. Must be capable of regular, reliable, and timely attendance.

Mental and/or Emotional Requirements

Must be able to perform job functions independently or with limited supervision and work effectively either on own or as part of a team. Must be able to read and carry out various written instructions and follow oral instructions. Must be able to complete basic mathematical calculations, spell accurately, and understand computer basics. Must be capable of dealing calmly and professionally with numerous different personalities from diverse cultures at various levels within and outside of the organization and demonstrate highest levels of customer service and discretion when dealing with the public. Must be able to effectively handle multiple, simultaneous, and changing priorities. Must be capable of exercising the highest level of discretion on both internal and external confidential matters.

Working Conditions

Must be able to routinely perform work indoors in climate-controlled shared work area with minimal noise.
