This role works out of our Headquarters in Redwood City, CA. Due to the Covid 19 Pandemic Guardant Health has temporarily classified this role as ‘working from home status’, meaning as duties apply this role the person will be expected onsite a few days a week.


We will fully return onsite at HQ when it is determined safe to do so.

Job Description




We're looking for an experienced and proactive individual to join our team to lead an manage Stock Administration. In this role, you'll have the opportunity to support the administration of our global equity program while contributing to the development of a dynamic and growing team. You'll bring your previous corporate paralegal and global stock administration experience, and your passion for excellent customer service, to all levels of our team as we scale to new heights.


  • Ensure set-up of equity award system (Schwab) correctly reflects data provided by the People team;
  • Enter all grants of stock-based compensation into equity award system, ensuring that all parameters of awards are correctly entered;
  • Ensure new grants are communicated to participants and accepted, as necessary;
  • Serve as a resource for participants' questions about all equity awards, including vesting, expiration, exercise, and sale of shares;
  • Manage employee stock purchase plan, including settlement and release of shares twice / year;
  • Manage the overall quarterly calendar of various stock admin related activities with inputs from People and Finance. Provide monthly reports to heads of Legal, Finance & People teams;
  • Coordinate and reconcile all related SEC reporting under Section 16 to the Securities Exchange Act of 1934, as amended;
  • Manage trading window notifications per Insider Trading Compliance Policy and regularly update our insider list;
  • Manage the annual proxy reporting needs related to director and executive officer awards;
  • Tracking of non-standard awards (e.g., Performance-Based Awards) and coordination with Finance team for expense recognition and release;
  • Manage the option pricing process with valuation model approved by Finance;
  • Manage the relationship with outsourced service providers, and develop a transition plan, as necessary;
  • Advocate for continual process improvement;
  • Provide general corporate paralegal support on such topics as domestic and foreign subsidiary management, mergers & acquisitions, and corporate governance compliance;
  • Project management with the ability to manage simultaneous projects in an efficient and timely manner; and
  • Working closely under the supervision of responsible attorney, and exercise independent judgment in escalating issues within broadly defined practices and policies.


Qualifications




  • Paralegal certification, four-year degree or equivalent experience
  • 8+ years of experience at a high-quality law firm, in-house position or both;
  • Certified Equity Professional certification preferred;
  • Experience with U.S. federal and state taxation relating to equity compensation and general knowledge of global taxation; and
  • Understanding of accounting standards relating to equity compensation.

Majority of the work is performed in a desk/office environment; however, there may be exposed to high noise levels, fumes, and biohazard material in the laboratory environment.
